PixVideo - End User License Agreement (EULA)

1. ACCEPTANCE OF TERMS
By downloading, installing, accessing, or using the PixVideo application (the "Application" or "App"), you ("User" or "You") agree to be bound by the terms and conditions of this End User License Agreement ("EULA" or "Agreement").
If you do not agree to these terms, please do not download, install, or use the Application.
2. LICENSE GRANT
Limited License
PixVideo Inc. (the "Company" or "we") grants you a limited, non-exclusive, non-transferable, and revocable license to download and use the Application on your personal devices (iOS devices) solely for your personal, non-commercial use.
License Restrictions
You agree NOT to:
- Modify, reverse engineer, disassemble, or decompile the Application
- Remove any proprietary notices or labels on the Application
- Use the Application for any commercial purpose or for any public display
- Attempt to derive the source code of the Application
- Transfer, assign, sublicense, or sell your rights to the Application to any third party
- Use the Application in any way that violates applicable laws or regulations
- Use the Application to create content that infringes on intellectual property rights of others
- Use the Application to harass, abuse, or harm any person or entity
3. CONTENT AND INTELLECTUAL PROPERTY RIGHTS
3.1 User-Generated Content
Ownership: You retain all ownership rights to any content you create using the Application ("User-Generated Content").
Grant of Rights: By using the Application to generate content, you grant the Company:
- The right to host your content on our servers
- The right to display your content within the Application
- The right to use your content for content moderation and safety purposes
- The right to delete or remove content that violates this Agreement
Restrictions: You represent and warrant that your User-Generated Content:
- Does not infringe on the intellectual property rights of any third party
- Does not contain defamatory, obscene, or illegal content
- Does not violate the privacy rights of any person
- Does not impersonate or misrepresent any person or entity
- Does not violate any applicable laws
3.2 Facial Data and Face-Swapping
Consent and Rights:
When using the Face-Swap feature:
- You agree that any facial data you upload is either your own or you have explicit consent from the person whose face appears in the content
- You understand that face-swapping is intended for entertainment purposes only
- You agree NOT to use face-swapping to create non-consensual deepfakes of real people
- You agree NOT to use face-swapping to create defamatory, harassing, or illegal content involving any person
Prohibited Use:
The following uses of face-swapping are strictly prohibited:
- ❌ Creating non-consensual intimate or sexual content
- ❌ Impersonating a real person to deceive or defraud others
- ❌ Creating defamatory content
- ❌ Using faces of minors without parental consent
- ❌ Creating content that violates anyone's privacy or dignity
- ❌ Violating any local, state, or federal laws
Enforcement:
Violations of facial data terms will result in:
- Immediate suspension or termination of your account
- Deletion of all your data and content
- Potential legal action if applicable
- Reporting to appropriate authorities if content is illegal
3.3 Application Intellectual Property
The Application, including all design, text, graphics, interfaces, and artwork, is owned by the Company and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any portion of the Application without written permission from the Company.
4. SUBSCRIPTION TERMS
4.1 Auto-Renewal Subscription
If you choose to purchase a subscription ("Subscription"), the following terms apply:
Subscription Details:
- Your Subscription provides access to premium features as described in the Application
- Subscriptions are automatically renewed at the end of each billing period
- Pricing is as displayed in the Application at the time of purchase
- Your subscription will renew on the same day each month (for monthly plans) or year (for annual plans)
4.2 Billing and Payment
- Billing occurs 24 hours before your Subscription renewal date
- Payment is processed through Apple's App Store billing system
- You authorize the Company to charge your Apple Account for the Subscription price
- If payment fails, your Subscription may be terminated
- All prices are in US dollars (or your local currency as displayed)
4.3 Subscription Management and Cancellation
Managing Your Subscription:
You can manage or cancel your Subscription at any time:
- Open your iOS device Settings
- Tap "Apple ID" (or "[Your Name]")
- Tap "Subscriptions"
- Find "PixVideo" in the list
- Tap "PixVideo"
- Tap "Cancel Subscription"

Cancellation Policy:
- Cancellations take effect at the end of your current billing cycle
- You will NOT receive a refund for the current billing period
- You will lose access to premium features after your subscription ends
- If you cancel within a free trial period, your access ends immediately
4.4 Free Trial (if applicable)
- If a free trial is offered, your trial period is [X days]
- The free trial grants you temporary access to premium features at no cost
- Your Subscription will automatically begin after the free trial ends
- Billing will occur on the date your free trial expires
- You can cancel during the free trial to avoid charges
- Each user is eligible for only one free trial period
4.5 Price Changes
- The Company may change Subscription prices at any time
- If the price increases, you will be notified before renewal
- If you do not agree to the new price, you can cancel your Subscription
- Continued use after price notification constitutes acceptance of new pricing
5. PAYMENT TERMS
- All payments are processed through Apple's App Store
- The Company does not directly handle payment information
- You are responsible for providing accurate payment information
- The Company is not responsible for declined payments or billing failures
- Refunds are handled through Apple's App Store refund process, not the Company
6. WARRANTY DISCLAIMER
AS IS BASIS
THE APPLICATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability
- Warranties of fitness for a particular purpose
- Warranties of non-infringement
- Warranties of accuracy or completeness
NO GUARANTEE OF PERFORMANCE
The Company does not guarantee:
- That the Application will be uninterrupted or error-free
- That defects will be corrected
- That the Application will meet your specific requirements
- That the Application will be compatible with all devices or iOS versions
USE AT YOUR OWN RISK
You assume all risk associated with downloading and using the Application. The Company is not responsible for:
- Data loss or corruption
- Unauthorized access to your device
- Damage to your device
- Loss of content or generated materials
- Any indirect, incidental, or consequential damages
7. LIMITATION OF LIABILITY
To the maximum extent permitted by law, the Company shall not be liable for:
- Lost profits or revenue
- Lost data or content
- Indirect, incidental, special, consequential, or punitive damages
- Damages arising from unauthorized use of your account
- Any claim arising from your use of the Application
Total Liability Cap:
The Company's total liability shall not exceed the amount you paid for the Application in the past 12 months (or $0 if you have not paid anything).
8. INDEMNIFICATION
You agree to indemnify and hold harmless the Company from any claims, damages, or costs arising from:
- Your use of the Application
- Content you create using the Application
- Your violation of this Agreement
- Your violation of any applicable laws
- Your infringement of any third-party intellectual property rights
9. PRIVACY POLICY
Your use of the Application is also governed by the Company's Privacy Policy, which is available at:

10. PROHIBITED CONDUCT
You agree NOT to:
Illegal Activity
- Use the Application to create, distribute, or access illegal content
- Violate any applicable local, state, national, or international laws
- Commit fraud, identity theft, or other crimes
Harmful Content
- Create content that is defamatory, libelous, or slanderous
- Create content that is sexually explicit or obscene
- Create content that is violent or promotes harm
- Create content that harasses, bullies, or threatens any person
- Create content that discriminates based on protected characteristics
Intellectual Property
- Create content that infringes on copyrights, trademarks, or patents
- Create content that misappropriates trade secrets
- Create content that violates the rights of public figures without permission
Privacy Violations
- Create deepfakes of real people without consent (especially for sexual content)
- Impersonate real people to deceive or defraud
- Violate anyone's reasonable expectation of privacy
- Create content using minors' images without proper consent
System Abuse
- Attempt to hack, hack, or interfere with the Application
- Introduce viruses, malware, or harmful code
- Attempt to access unauthorized areas
- Use automated tools or bots to access the Application
- Engage in any form of network or data abuse
Violation Consequences:
- Immediate account termination
- Deletion of all your data and content
- Potential legal action
- Reporting to law enforcement if applicable
11. TERMINATION
11.1 Termination by You
- You may stop using the Application at any time
- Termination of your account deletes all associated data
11.2 Termination by the Company
The Company may suspend or terminate your account immediately if:
- You violate this Agreement
- You violate any applicable laws
- Your content is illegal or harmful
- You engage in abusive behavior
- You attempt to exploit the Application
- Your subscription payment fails
11.3 Effect of Termination
Upon termination:
- Your access to the Application ceases
- Your Subscription automatically cancels
- All your data is deleted (after 30 days)
- Sections regarding intellectual property and liability survive termination
12. CHANGES TO THE APPLICATION AND AGREEMENT
12.1 Changes to the Application
The Company may:
- Update the Application at any time
- Change or remove features
- Discontinue the Application with 30 days notice
- Modify pricing or terms
12.2 Changes to the Agreement
- We may update this EULA at any time
- We will notify you of material changes via the Application or email
- Your continued use after changes constitutes acceptance
- If you disagree with changes, you may delete the Application
13. TECHNICAL SUPPORT

Limitations:
- Support is provided as-is on a best-effort basis
- We do not guarantee resolution of all issues
- Remote access to your device will not be requested for support
14. THIRD-PARTY SERVICES
The Application uses the following third-party services:
- Apple ID for authentication
- Google Analytics for usage analytics (anonymized)
- Firebase for app performance monitoring (anonymized)
- Google AdMob for advertising
Each third-party service is governed by its own terms of service and privacy policy. The Company is not responsible for third-party services.
15. EXPORT COMPLIANCE
The Application may be subject to export control laws. You agree:
- Not to export or re-export the Application to prohibited countries
- Not to use the Application in violation of embargo regulations
- To comply with all applicable export laws and regulations
16. SEVERABILITY
If any provision of this Agreement is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect.
17. ENTIRE AGREEMENT
This EULA, together with the Privacy Policy, constitutes the entire agreement between you and the Company regarding the Application. This Agreement supersedes all previous agreements, understandings, and negotiations.
18. GOVERNING LAW AND JURISDICTION
Governing Law:This Agreement is governed by the laws of Australia, without regard to conflict of law principles.
Jurisdiction:You agree to submit to the exclusive jurisdiction of the courts located in Australia for any disputes arising from this Agreement.
19. DISPUTE RESOLUTION
19.1 Informal Resolution
Before initiating formal legal proceedings, you agree to attempt to resolve disputes informally by contacting the Company at:

The Company will attempt to resolve your concern within 30 days.
19.2 Binding Arbitration
If informal resolution fails, you and the Company agree that any dispute shall be resolved by binding arbitration under the rules of the Australian Disputes Centre, rather than in court.
Exceptions: This does not prevent either party from seeking injunctive relief for intellectual property violations or other urgent matters in court.

21. ACKNOWLEDGMENT
BY DOWNLOADING, INSTALLING, OR USING THE APPLICATION, YOU ACKNOWLEDGE THAT:
✓ You have read and understood this EULA
✓ You agree to be bound by all terms and conditions
✓ You have the legal capacity to enter into this Agreement
✓ You will use the Application in compliance with all laws
✓ You understand the risks associated with the Application
✓ You accept the disclaimer of warranties and limitation of liability
